Apex Executive Interiors Pty Ltd Terms and Conditions for Quotations
Definitions – ‘The customer’ is any company or any representative of a company that has engaged Apex Executive Interiors Pty Ltd [Apex Executive Interiors] by whatever means either written or verbal to carry out works, offer consultation or order materials on the customer’s behalf.
Costing - All Purchase Orders will incur a 10% Good and Services Tax [GST] payable with the Invoice regardless of whether or not the customer is able to claim. Prices are fixed for a period of twenty-eight [28] days from the quotation date. After twenty-eight [28] days prices may be subject to change without notice.
Purchase Orders, Cancellations, Changes and Returns - All returns to Apex Executive Interiors must first be authorised by Apex Executive Interiors. If Apex Executive Interiors has incorrectly supplied goods or services and / or faulty goods, Apex Executive Interiors will organise and pay for return of goods from the customer to Apex Executive Interiors and / or rectification of services. If the customer has incorrectly ordered the goods or services then all costs associated with the provision of replacement goods or the return of goods to their place of purchase (ie restocking fees, labour, administration and transport) will be borne by the customer as will additional and / or rectification of service works. Returned goods must be in the same condition as when they left the factory. Goods returned in a damaged condition or previously installed will not be accepted and no refunds or credits will be given. Any issues arising as a result of a failure by the customer to fully understand the documentation and / or drawings will be deemed to be not the fault of Apex Executive Interiors and any costs and / or delays associated with any error or errors on the part of the customer will be borne by the customer. In the event of a Purchase Order being cancelled by the customer all costs with regard to administration will be borne by the customer. If a cancelled Purchase Order has reached a point in manufacture, installation and or supply at the time of cancellation in which costs have been incurred then those costs will be borne by the customer even if no actual goods and/ or services can or were to be supplied. All Purchase Order cancellations must be made in writing to Apex Executive Interiors. The “time of cancellation” shall be deemed to be up to a period of two [2] working days after receipt of notification of cancellation of a Purchase Order. This is to give Apex Executive Interiors sufficient time to contact suppliers and contractors. It shall be the responsibility of the customer to ensure that Apex Executive Interiors has received notification of a cancellation. In the event of a Purchase Order being changed by the customer Apex Executive Interiors reserves the right to charge extra if the changes incur additional costs. In the event of a postponed delivery (initiated by the customer) Apex Executive Interiors reserves the right to have the customer's goods placed in storage at the expense and risk of the customer. Apex Executive Interiors will Invoice the customer and will require payment within seven [7] days for all costs associated with the supply and storage of these goods or penalties will apply as detailed under "Payments" as described within these terms and conditions. When a customer accepts an Apex Executive Interiors quotation either verbally and / or in writing in any form that customer accepts Apex Executive Interiors quotation, qualifications, exclusions, plans and layouts, terms and conditions, payment and finishes schedule, notes and timing associated with that quotation.
Made-To-Order Goods - All Made-To-Order goods are supplied on a strictly no return/credit policy. Unless there has been damage to the goods in transit or when the goods have been incorrectly manufactured.
Product Range Availability - To meet the needs of the market new goods are often released and other goods discontinued by manufacturers without warning, as such Apex Executive Interiors takes no responsibility for any goods being altered or discontinued by any manufacturer at any time, nor any associated costs, even during the valid time period of the quotation.
Damaged Goods - It is the responsibility of the customer to inspect all shipments of goods prior to acceptance and report within twenty-four [24] hours of delivery in writing of any damage to Apex Executive Interiors.
Warranty - Manufactured goods and / or services are guaranteed to be free from defects in material and workmanship for a period of fifty-two [52] weeks (unless stated otherwise in the quote document) from date of completion of installation provided the goods installed are used for their intended purpose. Some goods carry shorter or longer warranty periods and this should be checked and approved by the customer prior to ordering. Warranty does not cover, damage in transit, negligence on the part of the customer, alteration by non-authorised personnel, misuse of goods, fading (e.g. fabric and veneers). No other warranties are given or implied unless specifically stated in the quote document.
Access - This quotation is based on the fact that Apex Executive Interiors will be given reasonable site access and that the site will be presented to Apex Executive Interiors in a clean and safe state. Apex Executive Interiors must be given free access to all amenities, plant rooms, electrical risers, data risers, supply water risers, chilled water supplies, drainage risers etc. Under the terms of this quote Apex Executive Interiors must have reasonable access to the good/passenger lifts with lift protection provided by the building owners for Apex Executive Interiors to install. All of these requirements are to be provided to Apex Executive Interiors free of charge. In the event that any of these access requirements are not fulfilled then Apex Executive Interiors reserves the right to charge additional monies for any costs Apex Executive Interiors may incur.
Payments - All payments must be made in accordance with the Payment Schedule as stated in the quote document. Apex Executive Interiors reserves the right to charge a penalty of 3.5% of the outstanding amount for all outstanding Invoices beyond twenty-eight [28] days on the 15th of every month until all monies are received in full.
Asbestos, Lead and other toxic substances - Unless specifically mentioned in the quotation, this quote is based on the site being free of hazardous substances. If any hazardous substances are detected by Apex Executive Interiors and / or others prior to or after site access is given to Apex Executive Interiors the building owner / management shall accept full responsibility for solving the problem to a standard accepted by WorkCover. Any costs or delays associated with the detection, removal, encapsulation or any other means of handling hazardous substances will not be borne by Apex Executive Interiors. It is the responsibility of building management to notify Apex Executive Interiors of the presence of any hazardous substance prior to Apex Executive Interiors commencing work on site. Failure to do so will cause delays and added costs as mentioned above and may also endanger the health of site workers, the customer's staff, their clients and the public.
Force Majeure - Apex Executive Interiors shall not be held responsible for any situation not under the direct control of Apex Executive Interiors including but not limited to: Acts of God, war, famine, strikes, material shortages, flood, fire, drought, terrorism or acts of governments. In such instances the customer shall pay in full for all services and goods provided.
PC Sum [Provisional Cost] – A sum of money set aside in the construction contract for goods not selected and/or specified in the construction contract. For example, selection of a tile as flooring may require an allowance for screed bed material; an electrical allowance which sets aside an amount of money to be spent on electrical fixtures. Sometimes a PC Sum is allocated when it is not possible to obtain an accurate quote due to insufficient information, in which case works are costed based on an 'educated guess' with any short fall or over-spending made up via a variation or a credit to the contract sum.
Variations - If during the course of the construction period the customer makes a change or changes, these changes will be treated as a Variation. The customer will be notified in writing by Apex Executive Interiors of any additional costs (or savings) and of any delays caused by the Variation. The decision to approve or reject a Variation will be the customer's responsibility. Delays caused in Variation approvals may hold-up progress in other areas of the project, if delays occur due to the customer's request for a Variation or their inability or unwillingness to approve a Variation, then Apex Executive Interiors will not be held responsible and reserves the right to charge extra for extended delays beyond the original contract Any Variations that in the foreseeable future will be completed beyond the construction period will be treated as a new project.
Insurance (Correct as at 30/7/07) - Apex Executive Interiors currently has the following insurance policy's; Public Liability Insurance, Workers Compensation Insurance, Contract Works Insurance and Professional Indemnity Insurance - Certificates are available upon request.
Accounts - Apex Executive Interiors retains title to all goods and / or services supplied until paid for in full by the customer. Default of payment by the customer to Apex Executive Interiors will entitle Apex Executive Interiors the right to uplift any goods and / or services supplied. Any goods and / or services supplied to a third party by the customer remains the property of Apex Executive Interiors until paid for in full by the customer. Apex Executive Interiors reserves the right to decline future deliveries and / or the supply of services if the customer account is unpaid and outstanding for fifty-six [56] days or more. Apex Executive Interiors reserves the right to place on 'hold' the delivery of any outstanding goods and / or services if a customer account is outstanding for more than fifty-six [56] days or more. Apex Executive Interiors will endeavour to advise the customer should the customer place an order but Apex Executive Interiors will not be held liable for any delays based on non-payment by the customer. Any debt or recovery costs associated with late payments will be charged to the customer.
Liability - As customer usage of Apex Executive Interiors goods is outside the control of Apex Executive Interiors, no warranties are offered or implied (other than those covered by Legislation) other than to replace goods found to be faulty with respect to workmanship and/or materials. No liability will be accepted for loss of electronic data through power loss for any reason.
Loss of Time, Trade, Personnel and / or Production - Apex Executive Interiors accepts no responsibility for direct, indirect or consequential loss and / or damage of any kind resulting from the use, misuse or inability to use any of its goods. The customer shall at all times ensure that all goods are fit for the application to which they are to be used and the actual conditions of use are suitable. Incorrect use of any goods will result in any claim or warranty being null and void. No responsibility is accepted by Apex Executive Interiors for any loss arising from unwillingness to, inability to, or delay in, supply. Apex Executive Interiors reserves the right to alter goods specification at any time without notice.
Occupational Health and Safety [OH&S] - Apex Executive Interiors strictly adheres to the guidelines of its comprehensive OH&S Policy. Apex Executive Interiors reminds customers that if access to a customer’s site is refused by Apex Executive Interiors it is for the customer’s own health and safety. Restriction and denial of access to any Apex Executive Interiors site shall be at the sole discretion of Apex Executive Interiors.
Injury to Persons and/or Property - Apex Executive Interiors takes no responsibility for any injury or death of any person or persons outside of the control of Apex Executive Interiors where OH&S procedures have not been strictly followed and / or unauthorised access to site has been made. Apex Executive Interiors takes no responsibility for any loss and / or damage to property caused by the neglect of persons not under the direct control of Apex Executive Interiors.
Contractors - Apex Executive Interiors reserves the right to deny access to any site under the direct control of Apex Executive Interiors to any contractor provided by the customer or building owner / manager (often as a nominated or preferred contractor) if the contractor is unable to provide appropriate OH&S documentation, unwilling to work within the guidelines of Apex Executive Interiors OH&S Policy or has in the past acted in an unprofessional manner. Any costs associated with this breach will be borne by the customer including any extra over costs associated with the engaging of a new contractor to fulfil those duties.
Documentation, CAD Files, Drawings and Files - All documentation, CAD files, drawings and files remain the property of Apex Executive Interiors. All drawings are to be read in conjunction with the appropriate quotation and / or scope of works. The customer must not distribute any documentation, CAD files, drawings or files to any parties for any reason or for any purpose without the prior written consent of Apex Executive Interiors. The customer indemnifies Apex Executive Interiors from any liability, loss, damage or legal cost resulting from the incorrect distribution or misuse of any documentation, CAD Files, drawings or files. Apex Executive Interiors gives no warranties and / or guarantees (expressed or implied) for the use of any documentation, CAD files, drawings or files when used for any purpose other than that for which they were intended (to be deemed solely by Apex Executive Interiors) or by any other party other than Apex Executive Interiors
